# What to Do With Stock Options, RSUs, or a Business Windfall

![author avatar](https://amgwealthadvisors.com/hubfs/Imported_Blog_Media/AMG-Bug-Texas-Oak%20(1).png)

#### The Partners at AMG

Financial success often comes after years of hard work, calculated risks, and personal sacrifice. Whether you've built a business, earned significant equity compensation, or experienced a financial windfall, reaching this milestone can feel incredibly rewarding.

But it can also raise new questions.

Should you sell your company stock or hold on to it? How much will you owe in taxes? What does this mean for retirement? And how do you ensure the wealth you've worked so hard to build supports the life you want?

A significant financial milestone is more than a transaction; it's a life transition. Navigating it thoughtfully often requires shifting your focus from building wealth to protecting and managing it with purpose.

#### **1. Understand What You Own and What It's Really Worth**

Not all forms of equity compensation or financial windfalls are created equal. Understanding the differences is an important first step.

##### **Stock Options**

Stock options give you the right to purchase company shares at a predetermined price. While they can create substantial wealth as a company's value increases, exercising or selling them may trigger taxes. Incentive stock options (ISOs) and nonqualified stock options (NSOs) also have different tax implications.

##### **Restricted Stock Units (RSUs)**

RSUs generally provide company shares once vesting conditions are met. They're typically taxed as ordinary income when they vest and are settled, even if you continue holding the shares. Multiple awards vesting in the same year can create significant tax obligations.

##### **Business Sale Proceeds**

Selling a business introduces additional considerations, including transaction structure, taxes, and how proceeds will be invested. For entrepreneurs whose business represents much of their net worth, converting the value into investable assets requires a thoughtful strategy.

Before making decisions, understand what you own, when it becomes available, and how taxes may affect what you ultimately keep.

#### **2. Recognize the Risks of Concentrated Wealth**

When you've helped build a successful company or spent years accumulating its stock, maintaining a substantial investment in that business can feel like the right thing to do. After all, that concentration may be exactly what helped create your wealth. But the strategies that helped you build wealth aren't always the same strategies that preserve it.

Having a significant portion of your net worth tied to a single company or asset creates concentration risk. For executives, the exposure may be even greater when both employment income and investments depend on the same company.

Diversification can help manage this risk by spreading investments across different asset classes and sectors.

That doesn't necessarily mean selling everything immediately. A more gradual strategy can help balance taxes, liquidity needs, trading restrictions, and long-term goals.

The key is developing an investment strategy that reflects your complete financial picture, not simply the assets that have performed well in the past.

#### **3. Make Tax Planning Part of Your Strategy**

One of the most important considerations when managing stock options, RSUs, or business sale proceeds is understanding tax implications and timing.

Exercising options, selling appreciated shares, or completing a business transaction can trigger different tax consequences. Depending on your circumstances, strategies involving charitable giving, coordinated sales, or thoughtful timing may help manage your overall tax exposure.

For business owners, some planning opportunities need to be explored well before a transaction closes. That's why coordination is essential.

Your financial advisor, CPA, and estate planning attorney should work together to evaluate how each decision affects your broader financial picture.

A collaborative approach helps connect these moving pieces so your investment strategy, tax considerations, and long-term planning work together toward your goals.

#### **4. Shift Your Focus From Wealth Creation to Financial Independence**

A significant liquidity event can change your financial possibilities almost overnight.

Perhaps early retirement is now realistic. Maybe you want to spend more time with family, pursue another venture, support meaningful causes, or create a lasting legacy.

For many executives and entrepreneurs, the question shifts from *"How do I accumulate more?"* to *"What do I want this wealth to make possible?"*

A thoughtful financial plan can help you consider:

- **Retirement:** How much income will you need to support your desired lifestyle?
- **Family wealth:** How can you support loved ones while protecting your own financial security?
- **Estate planning:** Are your wealth transfer strategies aligned with your new circumstances?
- **Philanthropy:** How can you use charitable giving to make an impact and complement your financial strategy?

The goal is to create lasting financial security that supports the people, experiences, and priorities that matter most to you.

#### **5. Don't Overlook the Emotional Side of Financial Success**

Financial windfalls often bring excitement and freedom, but they can also introduce uncertainty and unexpected pressure.

Selling a business can bring an unexpected sense of loss after years of dedication, while a substantial stock payout may create pressure to make the right financial decisions. Even reaching financial independence can introduce new challenges, particularly when couples have different visions for retirement and what comes next.

While there may be pressure to act quickly, not every decision needs to be made immediately. Sometimes, the most valuable first step is creating space to understand what's changed, clarify your priorities, and develop a thoughtful plan.

Financial confidence comes from understanding your options, feeling secure in your decisions, and knowing your wealth is supporting the life you want to lead.

#### **6. The Value of Coordinated Guidance During Major Financial Transitions**

Managing significant wealth requires a comprehensive approach that considers your finances, family, future goals, and the emotional realities of change.

A collaborative advisory team can make an important difference, particularly as you’re navigating complex decisions involving taxes, investments, estate planning, and long-term financial independence.

At AMG Wealth Advisors, we take an ensemble approach to wealth management, combining complementary expertise in financial planning, investment management, and fixed income strategies to help ensure our clients’ financial decisions align with their broader goals.

With specialized training as Certified Financial Transitionists®, our team understands the technical and emotional complexities that come with significant life changes, a perspective that helps clients work through uncertainty and weigh their options with confidence.

#### **Turning Financial Success Into Lasting Security**

Building substantial wealth takes vision, discipline, and perseverance. Preserving it requires an equally thoughtful, but often very different, approach.

Whether you're anticipating a business sale, navigating an RSU vesting event, evaluating stock options, or managing a concentrated position, collaborative, proactive planning can help you move forward with greater clarity.<https://amgwealthadvisors.com/contact>
